Acceptance of Terms
These Terms of Service (“Terms”) govern your use of the Reload Marketing Group website at reloadmarketing.ca and any services provided by Reload Marketing Group (“Reload,” “we,” “us,” or “our”).
By accessing our website, submitting an enquiry or audit request, or engaging our services, you agree to be bound by these Terms. If you do not agree, do not use our website or engage our services.
These Terms apply to all visitors, prospects, and clients. Specific service engagements are governed by a separate written agreement (proposal or service contract) that supplements and takes precedence over these Terms where there is a conflict.
Services
Reload Marketing Group provides marketing services to small and medium-sized businesses, including but not limited to: branding, website design, SEO and content, CRM strategy, workflow optimization, sales and marketing strategy, partnership development, and AI automation consulting.
Our Free Transformation Audit is provided at no cost and with no obligation. It represents our initial assessment of your business's marketing and digital presence. It is diagnostic in nature and does not constitute a guarantee of results, a binding proposal, or an engagement agreement.
All paid services are initiated by a written proposal accepted by both parties, followed by a service agreement. We reserve the right to decline any engagement at our discretion.
Proposals & Agreements
All service engagements begin with a written proposal outlining scope, deliverables, timeline, and pricing. A proposal is valid for 30 days from the date of issue unless otherwise stated.
Acceptance of a proposal, whether in writing, by email confirmation, or by payment of a deposit, constitutes a binding agreement between the client and Reload Marketing Group. At that point, the specific terms of the proposal and any accompanying service agreement govern the engagement.
Any changes to scope, deliverables, or timeline must be agreed to in writing by both parties before work on the changed scope begins. Scope changes may affect pricing and timeline.
Payment
Payment terms are specified in each proposal and service agreement. Standard terms are:
- Project work — 50% deposit required before work begins; remaining 50% due upon project completion or at milestones specified in the proposal
- Retainer services — invoiced monthly, due within 14 days of invoice date
- Late payments — accounts overdue by more than 14 days may be subject to a 1.5% monthly interest charge and may result in work being paused until payment is received
All prices are in Canadian dollars and exclude applicable taxes (HST/GST), which will be added to invoices where required by law.
We accept payment by e-transfer, credit card (via our payment processor), and bank transfer. We do not store payment card details.
Intellectual Property
Work product ownership: Upon receipt of full payment for a project, the client receives full ownership of all final deliverables created specifically for them under the engagement — including website files, logos, and written content — unless otherwise specified in the service agreement.
Pre-existing materials: Any tools, frameworks, methodologies, templates, or pre-existing materials owned by Reload Marketing Group that are used in delivering the work remain the property of Reload Marketing Group. The client receives a non-exclusive licence to use these materials as incorporated into the deliverables.
Portfolio use: Unless the client requests otherwise in writing, Reload Marketing Group reserves the right to display completed work in our portfolio and case studies.
Third-party assets: The client is responsible for ensuring they have the rights to any materials (images, fonts, content) they provide for use in the project. Reload Marketing Group is not liable for intellectual property claims arising from client-supplied materials.
Client Responsibilities
Successful project delivery depends on client participation. The client agrees to:
- Provide accurate and complete information required for the project in a timely manner
- Review and provide feedback on deliverables within agreed timelines
- Designate a primary point of contact with authority to approve decisions
- Provide access to required accounts, platforms, and assets within 5 business days of request
Delays caused by client inaction, late feedback, or failure to provide required materials may affect project timelines and are not the responsibility of Reload Marketing Group. Extended delays (over 30 days of client inactivity) may require a project restart fee.
Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of an engagement that is designated as confidential or that would reasonably be understood to be confidential.
This includes business strategies, financial information, client lists, and technical systems. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
For engagements involving access to sensitive data, a separate Non-Disclosure Agreement (NDA) may be executed on request.
Limitation of Liability
Reload Marketing Group provides marketing services based on professional expertise and best practices. We do not guarantee specific results, including search engine rankings, lead volume, revenue growth, or advertising performance, as these outcomes depend on many factors outside our control.
To the maximum extent permitted by applicable law, Reload Marketing Group's total liability for any claim arising from our services is limited to the fees paid by the client for the specific service giving rise to the claim in the three months preceding the claim.
Reload Marketing Group is not liable for indirect, incidental, consequential, or punitive damages, including lost revenue or lost profits, even if we have been advised of the possibility of such damages.
Termination
By the client: The client may terminate a project or retainer engagement with 30 days written notice. The client is responsible for payment for all work completed to the date of termination, plus any non-recoverable third-party costs incurred on their behalf.
By Reload Marketing Group: We reserve the right to terminate an engagement if: the client fails to make payment within 30 days of the due date; the client engages in conduct that is abusive, fraudulent, or illegal; or the client materially breaches these Terms or the service agreement.
Upon termination: All deliverables completed and paid for will be transferred to the client. Unpaid work will not be released until payment is received in full.
Website Use
You may use our website for lawful purposes only. You agree not to:
- Use the website in any way that violates applicable laws or regulations
- Attempt to gain unauthorized access to any part of the website or its systems
- Transmit any unsolicited commercial communications through our contact forms
- Scrape, copy, or reproduce website content without our express written permission
We reserve the right to restrict or terminate access to our website for any user who violates these Terms or whose conduct we deem harmful to our business or other users.
Our website is provided “as is.” We do not warrant that it will be uninterrupted, error-free, or free of viruses or other harmful components.
Governing Law
These Terms and any disputes arising from them are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law provisions.
Any legal proceedings arising from or related to these Terms or our services shall be conducted exclusively in the courts of Ontario, Canada. Both parties consent to the personal jurisdiction of these courts.
